14.1 The agreement constitutes the whole agreement between the contracting parties with respect to the distributor`s right to distribute the products. The conditions set out in the distributor`s orders or other documents or in the supplier`s order confirmations or other documents do not apply. The agreement can only be amended by a written agreement signed by both parties. “Replacement parts” are spare parts for products offered from time to time by the supplier. 2.2 The distributor is entitled to qualify as an authorized distributor of the products, but it has no right to enter into or initiate other agreements on behalf of the supplier. 12.1 A party is not liable to the other party for non-compliance with its obligations under the agreement, to the extent that this is due to circumstances outside its proper control (force majeure). If such a circumstance lasts for days or more, the party not concerned has the right to terminate the contract without written notification and without liability to the party concerned. 13.1 The agreement enters into force when it is signed by both parties and is continued until its termination in accordance with Article 13.2 or 13.3. 4.4 The supplier ensures that the products and spare parts comply with all laws in force in [country] and obtains all legal authorizations of the products and spare parts necessary for sale in [country]. 4.3 The supplier supports products during the supplier`s normal opening hours by phone and email. 8.1 The supplier ensures that products and spare parts are free of design, material and processing defects for a period of [number] months after delivery to the distributor. “products,” supplier products listed in Schedule A. 2.3 The supplier has the right to add or remove products from Schedule A after written notification to the distributor. 10.2 If the products or spare parts delivered under the contract violate the intellectual property rights of third parties, the supplier has the right, at its own expense: (i) to obtain the right to the distributor and its customers to continue to use the products or spare parts, (ii) to modify the products or spare parts so that they are not injured , or (iii) replace offensive products or parts with uninjured items. 6.2 If the delivery of a product or spare part is delayed by [number] of days or more, the distributor may set a time limit of less than [number] of days during which the supplier must deliver the product or spare part.
